Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Portvara platform ("Service") operated by Ronny Baroudi ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Portvara, you confirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to comply with them in full. We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Service Description

Portvara is an AI-powered investment analysis and decision-support tool. It provides educational content, portfolio organisation, risk analysis, and AI-generated insights to help you think through investment decisions. Portvara is not a regulated financial service, investment adviser, broker, or fiduciary. Nothing in the Service constitutes financial advice.

3. User Obligations

By using the Service, you agree:

• Not to use the Service for any unlawful purpose or in violation of any applicable regulations.
• Not to redistribute, resell, or commercially exploit AI-generated output from Portvara without our written permission.
• Not to attempt to reverse-engineer, scrape, or extract the underlying AI models or data.
• Not to use the Service in a way that could harm, overload, or impair the platform's infrastructure.
• To provide accurate information when setting up your profile and portfolio.
• To keep your account credentials confidential and notify us of any unauthorised access.

4. Subscription and Billing

Portvara offers a free Basic tier and a paid Premium tier. Premium subscriptions are billed on a recurring basis (monthly or annually) as described on the pricing page. Payments are processed securely by Stripe. You authorise us to charge your payment method on a recurring basis until you cancel.

Subscriptions can be cancelled at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial billing periods unless required by applicable law.

5. Intellectual Property

All content, branding, design, code, and AI models within Portvara are owned by or licensed to us. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your personal, non-commercial investment research purposes. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.

You retain ownership of any data you submit to the platform (such as your portfolio information). By submitting data, you grant us a limited licence to process it to provide the Service to you.

6. Termination

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behaviour, or if required to do so by law. Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers and limitation of liability) will do so.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any information provided is accurate, complete, or current. See our full Investment Disclaimer.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Portvara and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU or another jurisdiction with mandatory consumer protection laws, those laws may also apply to you.

10. Changes to Terms

We may revise these Terms at any time. We will give reasonable notice of material changes by updating the "last updated" date and, where appropriate, notifying you by email. Your continued use of the Service after any change constitutes acceptance.
